These terms govern the use of CMS Cloud, a contact and donation management service provided by Chabad Management Solutions ("we", "us"). By using CMS Cloud you agree to these terms on behalf of yourself and the organization you use it for ("customer").
CMS Cloud lets organizations manage families and members, donations, bills, forms, communications and reports, and connect optional services such as payment processing, text messaging and Google Contacts. Features may change as the service improves.
The customer owns the data it enters into CMS Cloud and is responsible for having the right to use it, including any consent its contacts must give. We use customer data only to provide the service, as described in our Privacy Policy.
Don't use CMS Cloud to break the law, send unsolicited or deceptive messages, infringe others' rights, upload malicious code, try to access data you're not permitted to see, or interfere with the service.
Optional services you connect — for example Google Contacts, payment processors, or text messaging — are provided by their own companies under their own terms. Connecting a Google account lets CMS Cloud read and update that account's contacts as described in our Privacy Policy; you can disconnect at any time.
Fees for CMS Cloud and its add-ons are as agreed with the customer or as published in our current pricing. Usage-based charges (such as text messages) are billed as described when the feature is set up.
We work to keep CMS Cloud available and secure and to back up customer data, but we can't promise the service will be uninterrupted or error-free. Support is available through our support portal.
CMS Cloud is provided "as is". To the extent allowed by law, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement.
To the extent allowed by law, we are not liable for indirect, incidental, special or consequential damages, or for lost profits or data. Our total liability for any claim is limited to the fees the customer paid for CMS Cloud in the twelve months before the claim.
A customer may stop using CMS Cloud at any time. We may suspend or end access for serious or repeated violations of these terms or non-payment. On request, we will help the customer export its data.
These terms are governed by the laws of the State of California.
We may update these terms. The date at the top shows the latest version; significant changes will be communicated to customers. Continued use after a change means acceptance of the updated terms.
